Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Verilexa litigation intelligence platform (“Service”) operated by Verilexa (“we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

The Service is available exclusively to licensed attorneys and their authorized staff members. By registering, you represent that you are a licensed attorney in good standing with the applicable state bar, or that you are authorized by such an attorney to use the Service on their behalf. Access is by invitation only during the early access period.

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must not share your account with unauthorized individuals.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized access to your account.

3. Advisory Nature of AI Outputs

All AI-generated outputs are advisory recommendations only. Every output from the Verilexa intelligence engines is labeled with an immutable advisory marker, confidence score, source attribution, and risk classification. You acknowledge and agree that:

  • AI outputs require review and verification by a licensed attorney before use in any legal proceeding.
  • Verilexa does not practice law and does not provide legal advice.
  • The attorney of record bears full professional responsibility for all legal decisions and filings.
  • Confidence scores are estimates of reliability, not guarantees of accuracy.
  • You must independently verify all AI-generated analysis against original source materials.

4. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of access.

5. Data Ownership

  • Your Data: You retain all ownership rights to data you upload to the Service, including case files, documents, and correspondence.
  • AI Outputs: AI-generated analysis, intelligence, and drafted content are provided as part of the Service. You may use these outputs in your legal practice subject to the advisory nature described above.
  • Platform Data: Aggregated, anonymized usage data and system performance metrics are owned by Verilexa.

6. Data Protection

We process your data in accordance with our Privacy Policy and Security Policy. We implement administrative, technical, and physical safeguards including encryption (TLS + AES-256-GCM), Row-Level Security, audit logging with PII redaction, and role-based access controls.

7. Subscription and Payment

  • Access to the Service requires an active paid subscription.
  • Subscription fees are billed annually as specified in your plan agreement.
  • Payment processing is handled by a PCI-compliant third-party processor.
  • We do not store raw credit card data on our servers.
  • Subscription terms, seat limits, and case limits are defined by your selected plan tier.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for service interruptions caused by factors beyond our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERILEXA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: CASE OUTCOMES, LEGAL MALPRACTICE CLAIMS, OR DECISIONS BASED ON AI-GENERATED ANALYSIS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold Verilexa harmless from any claims, damages, or expenses arising from: your use of the Service, your violation of these Terms, your submission of AI-generated content to courts without adequate attorney review, or your violation of any applicable law or professional rule.

11. Termination

  • You may cancel your subscription at any time.
  • We may suspend or terminate access for violation of these Terms or the Acceptable Use Policy.
  • Upon termination, your data is retained per the Data Retention Policy.
  • You may request data export or deletion upon account closure.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of North Carolina.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
